Terms for using Vgentive

These terms govern access to our website and use of the voice agent platform for hospital and clinic phone lines in India. Written to be clear for facility managers, procurement, and legal review.

Section 01

Agreement and scope

By using our website, booking a demo, or subscribing to the platform, you agree to these terms.

  • These terms apply to Vgentive Voice as a Service, including incoming and outgoing voice agents, the Facility Desk, and related support.
  • If you sign a separate order form, statement of work, or data processing addendum, that document controls where it conflicts with these terms.
  • We may update these terms from time to time. Material changes will be posted on this page with an updated date.
  • Continued use after changes take effect constitutes acceptance of the revised terms.

Section 02

Services we provide

Vgentive is a voice agent platform built for healthcare phone work in India.

  • Incoming voice agents on your business number for enquiry, appointment booking, and emergency call handling when you enable it.
  • Outgoing call types such as reminders, re-engagement lists, and feedback calls that your staff authorise from the Facility Desk.
  • Facility Desk access for transcripts, appointments, credit balance, team roles, and operational review.
  • Onboarding, set-up, monitoring, and platform updates during your subscription.
  • Links to telephony and tools you connect, subject to third-party terms.

Section 03

Your responsibilities

You control how the platform is used at your facility. You must use it lawfully and safely.

  • Provide accurate facility information, doctor schedules, hours, scripts, and emergency rules needed for set-up.
  • Keep account credentials secure and notify us promptly of suspected unauthorised access.
  • Obtain and document any caller consent required for recording or telemarketing under applicable Indian law.
  • Do not use the service for harassment, fraud, unlawful marketing, or impersonation.
  • Clinical diagnosis, treatment decisions, and medical advice remain solely with your licensed professionals. The voice agent is an operational tool, not a clinician.

Section 04

Pricing, credits, and payment

Commercial terms are confirmed during onboarding. Public pricing on our site is indicative.

  • Fees typically include a one-time onboarding charge plus usage-based credits for talk time.
  • Credits are pay-as-you-go. No monthly lock-in on credits. You may stop topping up or cancel your account at any time, subject to any fees already incurred.
  • Credit consumption, rates, and plan limits are defined in your order form or CreditPlan.
  • Invoices are due within the period stated on the invoice unless otherwise agreed in writing.
  • Late or failed payment may result in suspension after notice.
  • Taxes, levies, and duties apply as required by law and are your responsibility unless stated otherwise.
  • Outbound calling pauses when credits are insufficient, as described in product documentation.

Section 05

Intellectual property

Clear ownership keeps both sides protected.

  • We own the Vgentive platform, software, models, tooling, and underlying technology.
  • You own your business data, call recordings, transcripts, brand assets, and facility-specific set-up.
  • We process your data only to deliver and improve the service under these terms and our Privacy Policy.
  • Custom scripts, flows, and knowledge you provide remain yours. We receive a licence to host and run them for your account.
  • Third-party telephony, speech, and connected service components remain subject to their own licences.

Section 06

Confidentiality

Both parties may receive information that should stay private.

  • Non-public business, technical, and operational information shared during sales, onboarding, and support is confidential.
  • Each party uses confidential information only to perform under the agreement.
  • Confidentiality obligations survive termination for a reasonable period.
  • Disclosure may be required by law or court order. We will notify you when permitted.

Section 07

Service levels and disclaimers

We work to keep the platform reliable, but voice AI has limits.

  • Target availability and support response times, if any, are stated in your order form.
  • The service is provided on an as-is and as-available basis to the extent permitted by law.
  • We do not guarantee perfect call handling on every interaction. Review flags and desk tools exist so your team can catch edge cases.
  • Planned maintenance will be communicated in advance where practical.
  • Outages caused by upstream carriers, model providers, or force majeure events are outside our reasonable control.

Section 08

Limitation of liability

These limits are standard for commercial SaaS and apply to the fullest extent permitted by law.

  • Neither party is liable for indirect, incidental, consequential, special, or punitive damages.
  • Our aggregate liability is capped at the fees you paid in the twelve months before the claim, unless your order form states otherwise.
  • We are not responsible for losses caused by third-party services you connect beyond our reasonable control.
  • Nothing here limits liability where limitation is prohibited by applicable law.

Section 09

Suspension and termination

Either side can end the relationship. Your data export rights survive termination for a limited window.

  • You may terminate on the notice period in your order form or by written request where no form exists.
  • We may suspend or terminate for non-payment, material breach, unlawful use, or security risk.
  • On termination, you may export account data during an agreed window before deletion from production systems.
  • Outstanding fees remain due. Prepaid unused credits are handled per your order form.
  • Sections that should naturally survive, including confidentiality, IP, and liability, continue to apply.

Section 10

Governing law and disputes

We prefer to resolve issues directly before formal proceedings.

  • These terms are governed by the laws of India.
  • Courts in Uttar Pradesh, India have exclusive jurisdiction, unless your signed order form specifies otherwise.
  • Disputes should first be raised in good faith with our team at the contact details below.
  • Each party bears its own costs unless a tribunal or court orders otherwise.
